Treat FBA as three layers: (1) platform operations and settlement reporting; (2) sales tax (facilitator collection ≠ zero seller duty); (3) federal/state income tax and entity maintenance. Many China brands reach U.S. Prime customers through FBA. Pain points that circulate on social channels—“three years of sales before the first accountant,” “Amazon collects sales tax so we’re done,” “we formed an LLC and never heard of 5472,” “treat settlements as profit,” “duties paid equals U.S. tax done”—should be reframed in website language as executable compliance layers: entity and EIN, settlements-to-ledger, sales-tax matrix, income-tax path, and information-return calendar. Amazon is a channel; the IRS and state tax agencies still care about classification, nexus, and support. Example A — U.S. LLC + FBA-only
Ms. Zhou’s Shanghai brand wholly owns a U.S. LLC (disregarded). FBA sales about $900,000; Amazon fees and ads about $180,000; landed COGS about $420,000. Amazon collects sales tax on many facilitated orders; inventory still spans multiple nodes. She needs monthly books tied to settlements, a 5472 assessment, a sales-tax registration screen beyond facilitator assumptions (待核), and an income-tax path based on classification and U.S. tax status—not a blog template. Tax-bill results are not guaranteed.
Example B — U.S. C-Corp subsidiary
A China parent owns a Delaware C-Corp that receives Amazon payouts and files Form 1120 with clear related-party purchase support. Sales-tax and income-tax workstreams share one calendar, supported by bookkeeping. Structure helps banking and diligence; it does not erase nexus or filing duties.
