Changing Your Company Name, Address or Owners: State Amendments, IRS Form 8822-B and EIN Rules
A name change needs Articles of Amendment with your home state ($50 in North Carolina). Address and responsible party changes go to the IRS on Form 8822-B, with responsible party changes due within 60 days. Most changes keep the EIN; structural changes usually do not.

The short answer
When a company changes its name, address, owners or responsible party, the state, the IRS, the state tax agency, the bank and licensing offices each need their own notice. A name change or other change to the formation document requires Articles of Amendment with the home state; in North Carolina that costs $50 for corporations and LLCs. Changes to the mailing address, business location or responsible party go to the IRS on Form 8822-B, and a responsible party change must be reported within 60 days. A new name, address or owner usually keeps the same EIN, but a change in structure, such as a single-member LLC adding a member or a sole proprietorship incorporating, usually requires a new EIN.
Who this applies to
Restaurants and salons that rebrand or move. The state, tax and bank records should match the new sign and address.
Small companies where a partner leaves or a new investor joins. The operating agreement, ownership records and tax allocations change.
Companies whose responsible person has moved back to China. The IRS must be told about the new responsible party within 60 days.
Companies preparing for financing, a loan or a sale. The other side will compare state, IRS and bank records.
The state: amend or update
Anything in the formation document, such as the name, entity type or authorized shares, needs an amendment; officers and addresses are often updated through the annual report or a specific form.
Name change: North Carolina corporations and LLCs file Articles of Amendment for $50. In Delaware, a corporate amendment starts at $214 (more if shares increase) and an LLC amendment is $220. Wyoming charges $60. Check that the new name is available first.
Principal office and registered agent: North Carolina uses Form BE-17 and related forms for the principal office, registered agent or registered office, or you can update at the next annual report. Registered agent changes must be reported within 60 days, or they can become grounds for dissolution.
NC LLC company officials: Update them in the annual report, amend a filed annual report, or file an amendment if no report is due. Removing an official requires a notarized statement of dissociation.
Members and shareholders: North Carolina does not publicly register every member or shareholder, so ownership changes live mainly in your internal records: the operating agreement and member list for an LLC, and the stock ledger, transfer documents and board or shareholder resolutions for a corporation.
The IRS: Form 8822-B and name-change notices
Use Form 8822-B for address and responsible party changes; report a name change on the return or by letter.
Form 8822-B: Reports a change of mailing address, business location or responsible party. The IRS states that responsible party changes must be reported within 60 days. The responsible party is the person who controls the entity's funds and assets, usually an owner or principal officer.
Name change: Corporations check the name-change box on Form 1120 or 1120-S, and partnerships on Form 1065. If the year's return has already been filed, an officer or partner signs a letter to the filing address and attaches the state-approved amendment.
EIN: A name or address change does not require a new EIN.
When you need a new EIN
In general, a change in ownership structure or entity form requires a new EIN; a change in name or location does not. The points below follow IRS guidance.
Corporations need a new EIN when they receive a new charter, become a subsidiary of another corporation, change to a partnership or sole proprietorship, or merge to create a new corporation.
Corporations do not need one for a new name or location, an S corporation election, surviving a merger, or a reorganization that only changes identity or location.
Partnerships and multi-member LLCs need one when they incorporate, when one partner takes over as a sole proprietor, or when an old partnership ends and a new one begins. Ownership changes that do not end the partnership do not.
Sole proprietors and single-member LLCs need one when they incorporate or form a partnership. A single-member LLC that adds a member becomes a partnership for tax purposes and generally gets a partnership EIN and starts filing Form 1065.
Everything else to update
State tax: Update NC sales tax and withholding accounts with NCDOR; corporate address changes can use Form NC-AC.
Unemployment insurance: Update the NC Division of Employment Security account.
Banks and payment platforms: Bring the state approval and IRS confirmation.
Licenses and permits: Health permits, alcohol permits, professional licenses and local registrations.
S corporation eligibility: New shareholders must be eligible. A nonresident alien shareholder ends the S election, so check before any transfer.
BOI: Under FinCEN's current rules, companies formed in the U.S. no longer report or update beneficial ownership information; foreign companies registered in a U.S. state still do.
A simple example
This is simplified.
Mr. Chen and Ms. Liu each own 50% of a North Carolina restaurant LLC. In June 2026 Ms. Liu leaves, Mr. Chen becomes the sole member, and the restaurant takes a new name.
State: Articles of Amendment for the name ($50), and Ms. Liu's removal as an official through an amended annual report or amendment with a notarized statement of dissociation.
IRS: With one member left, the partnership ends for tax purposes and files a final 2026 Form 1065; going forward Mr. Chen reports the single-member LLC. If the responsible party changes, Form 8822-B is due within 60 days.
Everything else: Update the operating agreement, NCDOR sales tax and withholding accounts, bank signers, and the restaurant's permits.
Common mistakes
"The IRS will pick up my state name change." It will not; notify the IRS separately.
"I'll tell the IRS about the new responsible party at tax time." Form 8822-B has a 60-day deadline for that change.
"A new name means a new EIN." It does not, and duplicate EINs create messy records.
"A private agreement is enough to change owners." Update the operating agreement, ownership records, tax allocations and bank signers, and check S corporation eligibility.
"I'll fix everything at the annual report." Agent and responsible party changes have their own deadlines.
What to do and when
Before the change: Check name availability and whether the change affects your EIN or S status.
The month of the change: File the state amendment or update form, and update the operating agreement or stock ledger.
Within 60 days: File Form 8822-B for a responsible party change; report registered agent or office changes in North Carolina.
Within one to two months: Update NCDOR, DES, the bank, licenses and platforms.
At the next return: Check the name or address change box on Form 1120, 1120-S or 1065 and allocate income by the change date.

Questions this article answers
Do I need a new EIN after changing my company name?
No. The IRS says a name or address change alone does not require a new EIN. Check the name-change box on that year's Form 1120, 1120-S or 1065, or, if the return is already filed, send a signed letter with the state-approved amendment.
How soon must I tell the IRS about a new responsible party?
Within 60 days. File Form 8822-B to report a change in responsible party; the same form reports changes to the mailing address and business location.
How much does a name change cost in North Carolina?
Articles of Amendment cost $50 for North Carolina business corporations and LLCs. You also need to update the IRS, NCDOR sales tax and withholding accounts, DES, your bank and your licenses.
Does a single-member LLC need a new EIN when it adds a member?
Usually yes. Adding a member makes the LLC a partnership for tax purposes, which generally gets its own EIN and files Form 1065. Update the operating agreement and member records too.
Can a relative living in China become an S corporation shareholder?
Be careful. S corporation shareholders must be eligible, and a nonresident alien shareholder terminates the S election. Confirm the person's tax residency before transferring shares.
