Opening a TikTok Shop U.S. store: store types, onboarding documents, company setup and tax compliance (2026)

Short answer

A Chinese seller opening a TikTok Shop U.S. local store (including what the industry calls an ACCU store) needs a U.S. company, an IRS-issued EIN letter, a representative with an SSN or ITIN, a U.S. address and a U.S. bank account. Companies older than a year are often asked for filed returns as proof of tax filing. After launch, a foreign-owned company that misses Form 5472 faces $25,000 per form, and warehouse inventory creates state tax obligations.

At a glance

  • Pick the store type first: a U.S. local store needs a U.S. individual or U.S. company; a local store run by a Chinese-owned U.S. company is what the industry calls an ACCU store, with a higher bar; a cross-border store for a Chinese company usually needs a platform invitation; full and semi-managed models shift operations and logistics to the platform. Names and thresholds change often; Seller Center decides.
  • Onboarding documents must match: formation documents, the IRS EIN letter (CP 575 or 147C), the representative's ID and SSN or ITIN, a U.S. address and a U.S. bank account, with the same name, address and TIN everywhere. IRS website screenshots and SS-4 applications are generally not accepted.
  • "Proof of tax filing": the IRS issues no single document by that name. A company older than a year usually sends its filed federal return plus the IRS acceptance record or transcript, the EIN letter and a state Certificate of Good Standing. Unfiled years get filed first.
  • Every year after launch: a federal return (1120, 1065 or pro forma 1120), Form 5472 for foreign-owned companies, state returns and annual reports, 1099-K reconciliation, and a 1099-NEC for U.S. creators paid $2,000 or more.
  • Warehouses and imports: inventory in a state gives you physical presence there; the $800 de minimis exemption has been suspended since 2025-08-29 and Section 301 tariffs remain; duties and inbound freight go into inventory cost.

What does opening a TikTok Shop U.S. store involve?

Eight checkpoints, from the idea to steady operations: the store type, the entity (formation, EIN, ITIN), onboarding review (including proof of tax filing), addresses and government mail, payouts and platform tax information, logistics and warehouses, sales tax and tariffs, and bookkeeping and annual returns. The first three decide whether the store opens; the other five decide whether it later gets penalized or suspended.

TikTok Shop launched in the U.S. in September 2023, and its store types, thresholds and logistics rules have changed many times since. In January 2026 TikTok's U.S. business moved into TikTok USDS Joint Venture LLC; seller accounts carried over, while verification and logistics rules are still being adjusted. The table below puts the eight checkpoints side by side.

Which store types are there, and which one fits a Chinese seller?

It depends on whether you have a U.S. entity and whether you want to run the store yourself. With a U.S. company or U.S. status, open a local store: traffic and logistics are closer to U.S. shoppers, and there is no cross-border deposit. With only a Chinese company, use a cross-border store or a managed model: cross-border stores usually need an invitation, and in the managed models the seller mainly supplies goods. A local store run by a Chinese-owned U.S. company is the ACCU store.

Semi-managedSellers with some operating capacityChinese or U.S. companySeller prices and operates, stocks a U.S. warehouse; platform handles last mileGoods in a U.S. warehouse: decide the importer and the inventory states
  • What "ACCU" means: it is an industry and agency term; TikTok has not published an official expansion. In substance it is a local store run by a Chinese-owned U.S. company, under local-store rules.
  • Managed does not always mean no tax: under full-managed, the seller sells to or through the platform and usually has no U.S. filings of its own; semi-managed and local sellers sell in the U.S. themselves and handle U.S. tax and filings.
  • The bar moves: deposits, category access and logistics requirements changed in both 2025 and 2026. Check TikTok Shop Seller Center (seller-us.tiktok.com) and your account manager's written instructions before applying.
04

What does an ACCU store require, and what counts as "proof of tax filing"?

The conditions listed in seller materials are typically: a U.S. company, Chinese ownership of 25% or more, a representative with an SSN or ITIN, an Amazon U.S. store of some scale (with 12 months of sales and account-health screenshots), and a U.S. phone number and e-mail. During review the platform or account manager may ask for proof that the company pays tax in the U.S.; a company older than a year sends its filed returns. The platform's requirements at the time decide.

The IRS does not issue a single "proof of tax filing." What the platform really wants to see is three things: the company exists, the TIN was issued by the IRS, and the required returns were filed. By company age, prepare:

Figure 3. What to send when the platform asks for proof of tax filing (as of November 2026)

each row is a company situation, with the documents to send, where to get them, and what to watch. The platform's or account manager's written request decides.

  • Good Standing: the state's certificate that annual reports and fees are current and the registered agent is valid. Wyoming and Delaware call it a Certificate of Good Standing; North Carolina, a Certificate of Existence. If an annual report is overdue, file it or reinstate first (see yclcpa.com/annual).
  • EIN letter: the IRS CP 575 (mailed at assignment) or 147C (reissued later). If lost, call the IRS business line for a 147C; if the name or address doesn't match the formation documents, change the address with Form 8822-B first (see yclcpa.com/dupein).
  • Transcript: the IRS record of the return, more convincing than a copy. An e-filed corporate return shows once processed; pro forma 1120 records sometimes don't, so use the fax confirmation.
  • Never improvise: platforms and banks check IRS records. Filing late returns on the real facts is easier to deal with than having nothing to show.
05

Which entity: LLC or C corporation, and in which state?

Two common choices: a Wyoming or Delaware LLC, with low formation and annual fees, for starting out; or a C corporation (often Delaware) taxed at 21% federally, keeping profit in the company with a clear foreign-ownership structure. A single-member LLC owned by one Chinese person is disregarded for U.S. tax and files pro forma 1120 + 5472 every year; with U.S. inventory and U.S. business income, the owner may also file Form 1040-NR. That is why many higher-volume sellers go straight to a C corporation.

  • Foreign-owned single-member LLC: pro forma 1120 + 5472 by April 15, by fax or mail, no e-file (see yclcpa.com/5472). Inventory in U.S. warehouses and U.S. sales generally create effectively connected income; an individual owner files 1040-NR, a foreign corporate owner files 1120-F.
  • C corporation: Form 1120 at 21% federal, with 5472 when 25% or more foreign-owned; dividends to a foreign shareholder carry 30% withholding, generally 10% under the U.S.–China treaty.
  • No S corporation: foreign individuals and companies can't be S corporation shareholders.
  • State of formation: Wyoming ($100 to form, $60 minimum annual fee) and Delaware ($300 annual LLC tax; annual report and franchise tax for corporations) are common; an office or employees elsewhere means foreign qualification there. Inventory or sales in California above its doing-business thresholds bring the $800 minimum franchise tax. Compare states at yclcpa.com/llc.
  • BE-13 and BOI: a foreign person forming a U.S. company and holding 10% or more of the vote files BEA's BE-13 within 45 days (a claim for exemption under $40,000,000). Domestic companies are exempt from BOI (see yclcpa.com/boi).
  • Already have a company for Amazon: the same company can open a TikTok local store, provided its returns have been clean; keep one set of books split by channel.
06

How do you get an EIN and an ITIN without an SSN?

If the responsible party has no SSN or ITIN, the EIN can't be applied for online; fax or mail Form SS-4 to the IRS. TikTok local and ACCU stores often require the representative to have an SSN or ITIN. A foreign person with a U.S. filing need can apply for an ITIN; opening a store alone may not qualify, so assess first.

  • EIN: the SS-4 responsible party is the person who actually controls the company, not the agent. Keep the CP 575: onboarding, banks and platform reviews all ask for it.
  • ITIN reasons: a foreign owner who must file 1040-NR because a single-member LLC has U.S. business income, or who claims treaty benefits, has a valid reason; the ITIN is usually applied for with the return (see yclcpa.com/itin).
  • Through a CAA: YCL is an IRS Certifying Acceptance Agent; we verify the passport, so the original doesn't go to the IRS. IRS processing is usually about 7 weeks.
  • Keep it active: an ITIN not used on a return for 3 years in a row expires. Once the store is open, file every year.
07

U.S. address, phone number and government mail

The platform wants the company's business or contact address, generally not a P.O. box. A registered agent's address is for legal documents and government mail; whether it can serve as the business address depends on the platform's and bank's rules. IRS and state letters often give 30 or 60 days to respond, and unread mail turns into penalties or an administratively dissolved company.

  • Registered agent: every company needs one in its state of formation to receive service of process and state mail. YCL provides registered agent service in Wyoming and other states and scans mail to you (see yclcpa.com/ra).
  • Business and mailing address: it has to receive mail from the platform, banks and customers and match the store profile. Whether a virtual office or commercial mail service is accepted depends on the platform's review rules; we can introduce partners.
  • Government mail: photograph or scan IRS CP notices, state tax letters and annual report reminders and submit them at yclcpa.com/notice; we read, translate, reply and track the deadline.
  • Phone and e-mail: they must last; platform codes, banks and the IRS use them. Update the platform and bank before changing numbers.
08

Payouts, W-9 and 1099-K: filling in the platform's tax information

A local store enters tax information in Seller Center: a U.S. company gives its EIN on a W-9, an individual gives an SSN or ITIN, and the name must match IRS records exactly; a foreign-owned single-member LLC depends on the owner's status. Missing information or a name/TIN mismatch means 24% backup withholding on payouts. Over $20,000 and 200 transactions in a year, the platform issues a 1099-K showing gross amounts, which must be reconciled to settlement reports.

  • W-9 or W-8: U.S. persons, C corporations and multi-member LLCs give a W-9; a Chinese company on a cross-border store gives a W-8BEN-E.
  • Foreign-owned single-member LLCs need a closer look: the LLC is disregarded, and under the W-9 instructions a foreign owner gives the appropriate W-8 (generally W-8ECI when the income is effectively connected), not a W-9 under the LLC's EIN. If the platform only offers a W-9, ask the platform and follow your CPA's advice. This is one reason sellers move to a C corporation or have the LLC elect corporate treatment on Form 8832.
  • Name/TIN matching: line 1 of the W-9 and the TIN must match IRS records; a mismatch triggers a B notice to the platform, and if uncorrected, 24% withholding.
  • 1099-K reconciliation: the 1099-K is gross customer payments, including platform and creator commissions, pre-refund amounts and possibly shipping; payouts are net. List the differences from the settlement reports (see yclcpa.com/1099k).
  • Bank account: company revenue goes to a U.S. account in the company's name, matching the EIN letter; personal accounts mix the books and the taxes.
  • Paying U.S. creators: affiliate commissions paid through the platform are settled by the platform; flat fees you pay U.S. creators directly need a 1099-NEC from 2026 at $2,000 a year, with a W-9 collected first (see yclcpa.com/1099nec). Keep a W-8BEN from creators abroad.
09

Logistics and warehouses: what tax obligations does inventory create?

From 2026, more U.S. orders must go through platform logistics (Fulfilled by TikTok and others) or approved warehouses, with self-shipping restricted; Seller Center notices decide. Whatever the warehouse, inventory in a state gives you physical presence there, which can mean sales tax registration, income tax or franchise tax in that state. Shipping from China also means deciding who is importer of record (IOR).

  • Inventory states: platforms and warehouses spread goods across states for their own logistics; receiving records and inventory reports show which. Physical presence ignores sales thresholds; federal P.L. 86-272 generally doesn't protect sellers with inventory in the state and doesn't apply to gross-receipts taxes such as the Texas franchise tax or Washington B&O (see yclcpa.com/fba).
  • Importer of record: under DDP the forwarder is the importer and carries the duties and filings; if your U.S. company is the importer, it registers with CBP, and formal entries (generally over $2,500) need a customs bond. The importer is also the one who can claim duty refunds.
  • Tariff layers: as of November 2026, Section 301 tariffs on Chinese-origin goods remain, with another 12.5% added from July 24, 2026; IEEPA tariffs were stopped by the Supreme Court on February 20, 2026, and importers of record can claim refunds through CBP; the $800 de minimis exemption has been suspended since August 29, 2025. The full layer table is Figure 3 at yclcpa.com/aigo.
  • Inventory cost: purchase price, inbound freight, duties, brokerage and delivery to the warehouse go into inventory and become cost of goods sold when sold; keep year-end quantities and values. Platform reimbursements for lost or damaged goods are income.
  • Warehouse partners: we don't run warehouses; we introduce partner warehouses and customs brokers and bring their bills, receiving records and entries into the books.
10

Sales tax: TikTok collects it, so what's left for me?

TikTok Shop collects and remits sales tax on platform orders as a marketplace facilitator in states with sales tax, so sellers generally don't collect it themselves. Off-platform sales (your own site, wholesale, in person) are yours to assess and collect; some states still require registration or returns from sellers with inventory there or sales over thresholds; and gross-receipts taxes (Washington B&O, Texas franchise tax) are not covered by the platform.

  • Thresholds count every channel: $100,000 a year in most states, $500,000 in California, Texas and New York; some states include marketplace sales.
  • Sales tax on platform fees: a few states tax the commissions and service fees the platform charges; follow the platform notice and the amount shown on the fee invoice, and book it as an expense.
  • Selling on your own site too: sales tax on Shopify and similar sites is yours; Stripe Tax and similar tools calculate it, but registration and returns are still needed (see yclcpa.com/stripetax).
  • North Carolina rules: see yclcpa.com/salestax.
11

Bookkeeping and annual returns after launch

Monthly: download settlement, order and ad reports from Seller Center and record gross sales, platform commissions, creator commissions, logistics fees, ads, refunds and samples separately; cost inventory and COGS by unit. Yearly: the federal return for your entity, Form 5472 for foreign-owned companies, state returns and annual reports, and 1099-NECs for U.S. individuals paid for promotion.

  • Settlement reports are the source: TikTok pays out net; record revenue gross and list every fee so the 1099-K reconciles.
  • Samples and creators: samples sent to creators are a promotion expense at cost; record commissions and flat fees separately.
  • Ads: download TikTok ad invoices and book them monthly; match card-paid ads to the card statement.
  • Several stores and platforms: Amazon, TikTok and your own site in one company share one set of books split by channel, so profit is clear and revenue isn't doubled or missed.
  • Annual filings: C corporation 1120 (+5472); foreign-owned single-member LLC pro forma 1120 + 5472, plus the owner's 1040-NR; multi-member LLC 1065; state returns, annual reports and RA renewal, on the calendar in Figure 4.
12

Platform violations and government penalties

On the platform side there are violation points and deductions for products, content and fulfillment, handled through the platform's appeals. On the government side there are IRS and state penalties, assessments and administrative dissolution, handled through abatement and reinstatement. The two often connect: a dissolved company or a mismatched EIN record can stall a platform review or payouts.

  • Platform document requests: when the platform asks for company documents, proof of tax filing or proof of address, we prepare the company and tax side as in Figure 3. Platform rules, product violations and appeals themselves belong to your operations team or agency.
  • IRS penalties: first-time abatement for late filing and late payment; Form 5472 penalties with a reasonable-cause statement, with the outcome depending on the facts and the IRS (see yclcpa.com/diirsp).
  • State issues: a company dissolved for late annual reports is reinstated first, then gets its Good Standing; sales tax and franchise tax notices are answered on time.
  • Product compliance: children's products need a CPC; consumer products under CPSC rules need a certificate, filed electronically at import from July 8, 2026; cosmetics follow FDA's MoCRA registration and listing; wireless devices need FCC authorization; California sales may need Prop 65 warnings. Testing labs and lawyers handle these; we book certification costs, recalls and claims correctly.
  • Trademarks and brands: U.S. trademark filings and brand authorization are handled by a trademark lawyer.

What happens in the first year, and in what order?

Assess before launch and settle the store type and entity; form the company and get the EIN; file BE-13 within 45 days; open a bank account and onboard. After launch, keep monthly books and review sales tax in inventory states; in March and April of the next year, file federal and state returns and Form 5472, with state annual reports on each state's date.

An example: a Chinese-owned LLC applying for an ACCU store is asked for proof of tax filing

Example (hypothetical numbers, for illustration only): Mr. Wang, a Chinese tax resident, formed A LLC in Wyoming in March 2025 and owns 100%. It sells home goods on Amazon U.S. through FBA. In September 2026 he applies for a TikTok Shop ACCU store, and the account manager asks for "proof of U.S. tax filing": the company is over a year old, so filed returns are required.

ItemFindingWhat to do
2025 federal filingsNo pro forma 1120 + 5472, no 1040-NRFile pro forma 1120 + 5472 late with a reasonable-cause statement; with U.S. inventory and U.S. sales the income is effectively connected, so file 1040-NR and apply for an ITIN with it (through a CAA, passport stays with him)
Penalty exposureA missed 5472 starts at $25,000Filing voluntarily with a statement lowers the risk; the outcome depends on the IRS
EIN letterCP 575 lostCall the IRS business line for a 147C, faxed back
Good StandingThe Wyoming annual report due March 1, 2026 was missedFile it (reinstate if already dissolved), then download the Certificate of Good Standing
Name and addressThe EIN letter shows an old addressFile Form 8822-B; use the new address on the platform
What goes to the platform—Pro forma 1120 + 5472 copy and fax confirmation, 147C, Good Standing, formation documents; the account manager's written request decides
From now on—Monthly books (Amazon and TikTok by channel); returns by April 15 each year; review TikTok inventory states separately

The math: one missed 5472 starts at $25,000; filing a pro forma 1120 + 5472 on time costs far less, and it is ready the day the platform asks for proof.

Pre-launch margin check (example, hypothetical numbers)

An item sells for $25. Platform commission at 6% is $1.50, creator commission at 15% is $3.75, platform logistics and fulfillment are assumed at $4.00, product cost $5.00, inbound freight $1.20, duties assumed at $2.20, ads at 10% of price $2.50, and returns at 5% $1.25. Pre-tax profit is about $25 − $21.40 = $3.60 per unit, roughly 14%. Commissions, fulfillment fees and duties come from Seller Center and the customs entry; laying them out line by line shows which one moves profit most.

Pitfalls and common mistakes

!

Myth: a new company with no profit on Amazon or TikTok yet doesn't file

A U.S. company 25% or more foreign-owned, or a foreign-owned single-member LLC, files Form 5472 once it has any transaction with its owner (capital, formation fees paid by the owner), at $25,000 per missed form. When the platform asks for proof of tax filing, missing returns also stall the review.

!

Myth: close enough on the onboarding documents is fine as long as it passes

The company name, address and EIN must match across formation documents, the EIN letter, the bank account and the tax form; mismatches get applications rejected, and later bring document requests, 24% withholding or held payouts.

!

Myth: TikTok collects sales tax, so state taxes aren't my concern

The platform only collects sales tax on platform orders; income or franchise tax in inventory states, Washington B&O and sales tax on your own site are not its job.

!

Myth: with DDP, tariffs aren't my problem

Under DDP the forwarder is the importer and holds the duties, filings and any refund; inventory cost needs duty documents to be right. The $800 de minimis exemption is suspended, so small parcels pay duty too.

Which situation are you in?

Start with whether you have a U.S. entity and whether its filings are clean, then the store type you want. Common situations:

  • Situation A: only a Chinese company, testing the market. Use a cross-border store (with an invitation) or a managed model, no U.S. company needed; if a local store is the next step, plan the U.S. company and ITIN early.
  • Situation B: a U.S. company already used for Amazon, aiming for a TikTok local or ACCU store. Check that past returns, 5472s and state annual reports are complete; if they are, prepare the onboarding pack; if not, fill the gaps first.
  • Situation C: starting a local store from scratch. A Wyoming or Delaware LLC, or a C corporation from the start; EIN, bank account, onboarding; with goods in U.S. warehouses, settle the importer and inventory-state tax at the same time.
  • Situation D: already selling, asked for proof of tax filing or Good Standing. Prepare per Figure 3; file missing returns first, cure a bad state status with the annual report or reinstatement, then send.
  • Situation E: an IRS or state penalty or assessment notice. Submit it at yclcpa.com/notice; we check the deadline and amount, request abatement where possible, and put future filings on a calendar.
Why YCL

We have grown with TikTok Shop sellers, and we adjust when the platform does

Since TikTok Shop opened in the U.S., we have handled entity planning, onboarding documents and annual books and taxes for TikTok sellers, including many of the platform's large sellers, and we have grown along with them. Store types, thresholds, logistics and review documents have changed many times; we went through those changes with our sellers and know what each one means for formation, returns and platform review. Your team runs the store, product selection and ads; the U.S. company, tax and compliance come to us, with one team to talk to.

What we can do with you: Pre-launch tax assessment: store type and entity, ITIN need, who imports, where goods sit, margin check; Formation and registered agent: LLCs and corporations in Wyoming, Delaware, North Carolina and other states, RA address, annual reports and reinstatement; EIN and ITIN: EIN by fax without an SSN, 147C reissue, address change on 8822-B; ITIN with the passport verified by our CAA, original stays with you; Onboarding pack and platform requests: formation documents, EIN letter, Good Standing, filed returns and acceptance records, organized for ACCU and other store types; Address and government mail: RA address for legal mail; IRS and state letters scanned, translated and answered on time; Warehouse and customs introductions: partner warehouses and brokers, with inventory-state tax reviewed alongside; Bookkeeping and sales tax: monthly books from TikTok settlement reports, ad invoices, creator commissions and inventory; sales tax review, registration and returns; Annual returns and penalties: 1120, 1065, pro forma 1120 + 5472, 1040-NR, state returns, BE-13, 1099-NEC; IRS and state penalty abatement.

  • Big Four background, 15+ years in U.S. tax, 10 years of U.S.–China cross-border work, CPA / EA / CAA
  • Years of books and returns for Amazon FBA, Shopify, Walmart and TikTok Shop sellers; we read settlement reports, inventory reports, customs entries and forwarder bills
  • IRS Certifying Acceptance Agent: we verify ITIN passports, so originals don't go to the IRS
  • Company and tax documents for platform reviews that match IRS and state records and hold up when checked

FAQ

Can a Chinese seller open a TikTok Shop U.S. local store?

Yes, through a U.S. company. It needs state formation documents and an IRS-issued EIN letter, every beneficial owner of 25% or more is disclosed, the representative generally needs an SSN or ITIN, and you need a U.S. address, U.S. phone number and U.S. bank account. A local store run by a Chinese-owned U.S. company is what the industry calls an ACCU store, with a higher bar. TikTok Shop Seller Center decides the exact conditions.

What is the proof of tax filing an ACCU store asks for?

The IRS issues no single document by that name. A company over a year old usually sends its latest filed federal return (Form 1120 for a C corporation, pro forma 1120 + 5472 for a foreign-owned single-member LLC, Form 1065 for a multi-member LLC) with the IRS acceptance record or transcript, plus the EIN letter and the state's Good Standing. Unfiled years get filed first. The platform's or account manager's written request decides.

LLC or C corporation for a TikTok Shop local store?

Many start with a Wyoming or Delaware LLC for the low fees; a single-member LLC owned by a Chinese individual files pro forma 1120 + 5472 every year, and with U.S. inventory and business income the owner may also file 1040-NR. Higher-volume sellers who want to keep profit in the company often use a C corporation, taxed at 21% federally, with Form 5472 when 25% or more foreign-owned. Foreign owners can't elect S corporation status.

TikTok already collects sales tax. What else do I file?

The platform only collects sales tax on platform orders. You still file federal income tax returns, Form 5472 for a foreign-owned company, state income or franchise tax and annual reports; collect sales tax yourself on off-platform sales; and issue a 1099-NEC to U.S. creators paid $2,000 or more. Warehouses in other states bring that state's obligations too.
