Corporation Formation (C & S Corporations)
Articles of incorporation, bylaws, stock issuance, the S election when it fits, and the payroll and state registrations a new corporation needs.
What is included
- Articles of incorporation and bylaws
- Initial board resolutions and share issuance
- EIN and S corporation election (Form 2553) when chosen
- Registered agent, annual report and franchise tax calendar
- Payroll set-up for owner salaries
C or S?
An S corporation passes income to its U.S. shareholders and avoids double tax, but it can have only one class of stock and no nonresident alien shareholders. A C corporation pays its own tax and suits investors and foreign owners. State filing fees, annual report rules and franchise taxes differ a lot; see our state-by-state formation guides.
Common questions
Can a foreign owner hold an S corporation?
No. Nonresident aliens cannot be S corporation shareholders; a C corporation or an LLC is used instead.
