Closing a Company (Dissolution)
Closing a company properly means a final tax return, cancelled state tax accounts and articles of dissolution — otherwise the annual fees and penalties keep coming.
What is included
- Final federal and state returns marked “final”
- Final payroll filings and W-2s
- Closing sales tax, withholding and unemployment accounts
- Tax clearance where the state requires it
- Articles of dissolution / certificate of cancellation, and withdrawal from other states
Order matters
Some states will not accept the dissolution until every tax return is filed and the tax account shows a zero balance, so we close the tax side first. State filing fees, annual report rules and franchise taxes differ a lot; see our state-by-state formation guides.
Common questions
Can I just stop filing?
The state will eventually dissolve the company, but fees and penalties usually accrue first and can follow the owners. A clean closure costs less in the end.
