Multi-State Registration (Foreign Qualification)

A company formed in one state that does business in another must register there as a “foreign” entity. We file the certificate of authority, appoint the agent and set up the state tax accounts.

What is included

  • Doing-business analysis: offices, employees, inventory, sales
  • Certificate of good standing from the home state
  • Application for certificate of authority / registration
  • Registered agent in the new state
  • Withholding, unemployment and sales tax registrations

What counts as doing business?

Having an office, employees or inventory in a state usually does; occasional sales by mail usually do not. Tax nexus for income and sales tax is a separate test and can be triggered by sales alone. State filing fees, annual report rules and franchise taxes differ a lot; see our state-by-state formation guides.

Common questions

What if we never registered?

States can charge back fees and penalties and may bar the company from suing in their courts until it registers. We fix that too.
